Agreement These Terms of Service ("Terms") govern access to and use of the Franexis platform and website (the "Service"), operated by TetraCore ("TetraCore", "we", "us"). By accessing the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. Organizations with a signed subscription agreement or order form are governed by that agreement where it conflicts with these Terms. ## 2\. The Service Franexis is a multi-tenant operations platform for franchise systems, including CRM, quoting, field service, inventory and equipment, finance, compliance, reporting, integrations, and a mobile application. Features may evolve over time; we will not materially degrade core paid functionality during a subscription term without notice. ## 3\. Accounts and access Accounts are provisioned by invitation from an organization administrator or by TetraCore. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Organizations are responsible for the roles and permissions they assign. We may require multi-factor authentication where an organization's policy mandates it. ## 4\. Customer data Your organization retains all rights to the data it enters into the Service ("Customer Data"). You grant TetraCore the rights needed to host, process, transmit, and display Customer Data solely to provide and support the Service. We enforce tenant isolation as described on our Security page. Upon termination, your organization may request export of its Customer Data within a reasonable period. ## 5\. Acceptable use You agree not to: use the Service unlawfully; attempt to access another tenant's or user's data; probe, scan, or test the vulnerability of the Service without written authorization; interfere with the Service's operation; send unlawful or unconsented messages through the Service's notification features; or resell the Service except under an agreement with TetraCore. Organizations are responsible for obtaining any consents required to send email and SMS notifications to their clients through the Service. ## 6\. Third-party services The Service can connect to third-party services your organization elects to use, such as QuickBooks Online, or import data from third-party systems. Those services are governed by their own terms, and TetraCore is not responsible for them. Third-party names on this site are trademarks of their respective owners, used for identification only. ## 7\. Fees Fees, billing cadence, and term are set out in your order form or subscription agreement. Except where required by law or expressly stated, fees are non-refundable. ## 8\. Availability and support We work to keep the Service available and performant, but the Service is provided without a guaranteed uptime unless your agreement states one. We may perform maintenance and will aim to minimize disruption. ## 9\. Disclaimers THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TETRACORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Service supports business operations but does not provide legal, accounting, insurance, or compliance advice. ## 10\. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. TETRACORE'S AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. ## 11\. Termination Either party may terminate as set out in the applicable agreement. We may suspend access for material breach of these Terms, security risk, or non-payment, with notice where practicable. Sections that by their nature should survive termination do survive. ## 12\. Governing law These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-laws principles. Venue for disputes lies in the state or federal courts covering Wood County, Ohio, and the parties consent to their jurisdiction. ## 13\. Changes We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date; continued use of the Service after changes take effect constitutes acceptance. ## 14\.
